0. Who you are contracting with
"Minice" is a trading name of Mykhailo Samiliak, a sole proprietor registered in the State of Washington, United States of America. In this document "we", "us" and "our" mean that person; "you" means the person using the service.
Contact for everything in this document: contact@minice.ai. There is no other channel, and we do not ask you to telephone anyone.
1. What this document is, and what it is not
These Terms govern your use of astra.minice.ai and of what you buy here. Three other documents sit beside them and are part of the same agreement:
| document | what it owns |
|---|---|
| [Refund and Cancellation Policy](/refund) | every rule about money coming back — the periods, the conditions, the grounds, and how to ask |
| [Privacy Policy](/privacy) | what we do with your personal data, and how to make us stop |
| [End User Licence Agreement](/eula) | what you may and may not do with the Astra program itself |
Where they say something about their own subject, they win over this document. In particular, this document deliberately states no refund period and no refund condition — those live in one place, so there is never a second copy to disagree with the first.
2. What we sell
2.1 The Astra licence. A perpetual, non-exclusive licence to use the Astra program on your own computer. One payment. It does not expire, nothing renews, and no further money is taken. What you may do with the program is the [EULA](/eula). The licence is recorded against the account you are signed in to when you buy it.
2.2 Astra Plus and Astra Pro. A subscription to our cloud service, billed per paid period. The service routes your requests to third-party providers of AI and speech synthesis and gives you an allowance of credits for the period. We do not run our own generative models; we authorise and deliver requests between your copy of Astra and those external services.
The allowances. The free trial every owner gets (2.4) and both subscriptions give you credits on three timescales at once — a ceiling for the paid period, a smaller one for the week, and a smaller one still for any five-hour span — and, on Plus and Pro, a separate ceiling on premium models inside the weekly one:
| per paid period | per week | per 5 hours | of which per week on premium models | |
|---|---|---|---|---|
| Free trial (owners) | 1,000 | 1,000 | 1,000 | 0 — premium models are not in the trial |
| Plus | 53,514 | 13,415 | 2,981 | 6,707 |
| Pro | 160,758 | 40,301 | 4,477 | 20,150 |
All of these apply together — a request can be refused by whichever one it would exceed, even while the others still have room. How many credits a request uses depends on the model and the length of the conversation, and the current values are shown in the app. We may change these values by publishing the change here; an increase applies at once, a reduction never applies to a period already paid for — it applies from your next paid period.
2.3 They are separate purchases, and this is the rule everything else follows from. A subscription is an addition to Astra, not a way of getting it. Buying a subscription does not give you the Astra licence and never will. Cancelling a subscription does not take the licence away.
2.4 The free AI trial. On top of the licence and at no extra charge, an Astra owner gets a free trial allowance of 1,000 credits a month for our cloud AI. It renews every month on the day and hour of the licence purchase; unused credits do not carry over. How many credits a request uses depends on the model and the length of the conversation, and the app shows what is left. The trial is not part of what the licence price pays for; we may change its size or the models it covers, or end it, by publishing the change on this site. Running out of it is not a defect and is not a ground for a refund. Plus and Pro give a larger allowance.
2.5 The free plan means "owns Astra, subscribes to nothing". It does not mean "registered an account".
3. Your account
3.1 You need an account to buy anything here. You are responsible for what happens under it and for keeping your sign-in credentials to yourself.
3.2 If you believe someone else has access to your account, change your password and sign out the devices you do not recognise on your account page, and tell us at contact@minice.ai.
3.2.1 Ways to sign in. An email address and password, or Google, and optionally two-factor authentication. Sign-in runs on our own system; the [Privacy Policy](/privacy) says what it keeps.
3.2.2 When we change the sign-in system. We may replace the system behind sign-in. When we do, you may have to sign in once more on this site and in Astra. Your account, what you bought and your licence stay as they are.
3.3 One person, one account. Buying on behalf of an organisation is fine; sharing one account between people is not, and it is the one thing most likely to look like abuse from our side.
4. Buying
4.1 Prices are shown on the product page before you pay, in the currency shown there. Any price shown before general release is promotional and may change at release.
4.2 Payment is taken by our payment provider on its own pages. Your card details are entered there. This site never receives them and we never store them.
4.3 Subscriptions renew automatically every month until you cancel. The amount, the interval and the fact that it repeats are shown before you pay. You can cancel at any time from your profile page on this site — online, in the same account you bought from. Cancelling stops the next charge and you keep access to the end of the period already paid for.
4.4 If we change a renewal price we tell you by email at least 14 days before it takes effect, and you may cancel before the new price is charged.
4.5 Immediate delivery, at your request, and what it costs you. Digital purchases here are delivered or started at once. **If the payment page locates you, by your IP address, in a country listed in section 2.0 of the [Refund Policy](/refund), next to the Pay button there is a box you must tick before you can pay, in which you expressly request immediate delivery and acknowledge what that costs you** as a consumer there: for the Astra licence, the 14-day right of withdrawal ends once it is delivered; for a subscription, withdrawing within 14 days costs a proportionate amount for the credits you have used. We confirm it by e-mail right after payment, with these Terms and the Refund Policy attached. [Section 2 of the Refund Policy](/refund) sets out exactly what follows, and it is worth the minute before you press the button. This section binds only a purchase made through a payment page that showed that box; any other purchase — one made before, or one where the page did not locate you there — keeps the full 14 days wherever the law gives them.
5. What we provide, and what we do not promise
5.1 We provide the service with reasonable care and skill, as described on this site.
5.2 We do not promise a particular answer. Speech recognition, generated text and synthesised speech are probabilistic. They will sometimes be wrong. What we describe is what the product does, not what any single result will be.
5.3 We depend on third parties and we say so plainly. The cloud service routes to external AI and speech providers. If one of them changes, restricts or ends its offering, what we can deliver changes with it. We will tell you when that happens, and where it materially changes what you bought, the Refund Policy's "we refund in full regardless" grounds apply.
5.4 Latency and throughput depend on your hardware, your connection and load at those providers. Those are not defects.
5.5 Availability. We do not promise uninterrupted service. We do maintenance, and things break. Prolonged failure that we cannot fix is covered by the Refund Policy, not by a promise here.
6. What you agree not to do
6.1 Use the service to break the law, or to produce material that is illegal where you or we are.
6.2 Resell, sublicense, or provide the cloud service to other people as if it were yours.
6.3 Attempt to circumvent the credit allowance, the rate limits, or the authentication.
6.4 Automate the service at a scale that degrades it for others, or use it to build a competing routing service.
6.5 Reverse-engineer the program beyond what the law of your country expressly permits regardless of contract. Building plugins through the published API and SDK is allowed — see section 3.6 of the [EULA](/eula).
6.6 If you break these, we may suspend or end your access. For anything other than a serious or deliberate breach we tell you first and give you a reasonable chance to stop. Money is not refunded when access ends this way — that exclusion is in the Refund Policy and this sentence does not add to it.
7. Your content and your requests
7.1 What you type, dictate or send through the service stays yours. We claim no ownership of it.
7.2 We route it to the third-party providers named in the [Privacy Policy](/privacy) in order to answer you. That is the service.
7.3 We do not use what you send to train models. We do not sell it.
8. Ending the agreement
8.1 You may stop using the service at any time, and cancel a subscription at any time from your profile. The [EULA](/eula) says what happens to the program licence.
8.2 We may end this agreement on reasonable notice if we stop offering the service. If we do that while you have paid for a period that has not finished, we refund the unused part — that is an obligation, not a courtesy.
8.3 Immediate termination is reserved for serious breach of section 6, and section 6.6 says what happens to money.
9. Liability
9.1 Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything the law of your country does not allow to be limited. If you are a consumer, your statutory rights are not affected by this section.
9.2 Subject to 9.1, our total liability to you for any claim is limited to the amount you paid us in the twelve months before the claim arose.
9.3 Subject to 9.1, we are not liable for loss of profit, loss of data you did not keep a copy of, or business losses. This is consumer software sold to individuals; it is not sold as critical infrastructure and must not be used as such.
10. Governing law, and where a dispute goes
10.1 These Terms are governed by the law of the State of Washington, United States of America, and the courts of that State have jurisdiction.
10.2 If you are a consumer in the EU or EEA, 10.1 does not take away the protection of the mandatory consumer law of the country you live in, and you may bring proceedings there. That is the law's rule, not our concession, and stating it plainly is cheaper for both of us than discovering it in an argument.
10.3 EU online dispute resolution. The European Commission operates an ODR platform at https://ec.europa.eu/consumers/odr. We are not obliged to use it and we would rather you wrote to us first, because nearly everything is faster that way.
11. Changes to these Terms
11.1 We publish a revision number and an effective date for every change, and every previous revision stays at /legal/archive.
11.2 A change never applies backwards. The revision in force on the day you bought something is the one that governs that purchase, and it remains readable in the archive.
11.3 For a material change we give at least 14 days' notice by email or in the application before the effective date. Continuing to use the service after that date means you accept the new revision; if you do not, cancel before it takes effect and the Refund Policy applies as usual. A change that applies only to purchases made after it is published takes effect on publication — the notice is for changes that reach what you have already bought.
11.4 Revision 2.1 (11 October 2026) changed only section 4.5 and the last sentence of 11.3, and section 4.5 applies from that day, ahead of the rest of this revision. Revision 1.0 said we did not ask for the request and acknowledgement it describes, and the payment page now does. Section 4.5 binds only purchases made through a page that showed the box, so it reaches nobody who bought before (11.3); until 24 October 2026 revision 1.0 governs everything else. Revision 2.0 (published 10 October 2026, which took effect for no purchase) and revision 1.0 are in the archive.
11.5 Revision 2.2 (16 October 2026) adds section 2.4, describing the free AI trial, the allowance table and change policy in section 2.2, and the matching lines in sections 4.1 and 5 of the Refund Policy. For a purchase made on or after 16 October 2026, it is effective from that day. For a purchase made before it, it is effective from 30 October 2026, fourteen days after publication, under section 11.3. Revision 2.1 (11 October 2026) and earlier revisions are in the archive.
12. Odds and ends
12.1 If one clause turns out to be unenforceable, the rest stands.
12.2 Not enforcing something once does not mean giving it up.
12.3 You may not transfer this agreement to someone else. We may transfer it if the business transfers, and we will tell you if that happens.
12.4 These Terms, the Refund Policy, the Privacy Policy and the EULA are the whole agreement between us about the service, and they replace anything said before.
